Co-Chair – Trusts and Estates Practice Group

With more than four decades of experience, Mr. Giron, a Partner with the firm, focuses his practice on a wide range of commercial and business transactions, including banking and finance law; commercial real estate sales, leasing, and land use; and corporate law. Mr. Giron also assists in the Firm’s representation of various public sector/governmental clients. Earlier in his career, Mr. Giron was a full-time commercial litigator, and applies skills learned in that practice to his representation of business clients.

Mr. Giron is admitted to practice in all state and federal courts in Rhode Island and Massachusetts. Mr. Giron is also admitted to practice in the First Circuit Court of Appeals. He earned his J.D. degree, cum laude, from Suffolk University Law School in 1983, where he was an editor on the Law Review, and earned a B.A. degree from Colby College in 1978. Mr. Giron is a member of the Rhode Island Bar Association, and he has been a lecturer on various business topics. Mr. Giron has also been a member of the Federal Court Bench-Bar Committee, and was a past President of the Colby College Alumni Club of Rhode Island.

  • Represents a major real estate investor in connection with its acquisition and development of more than 50 acres of waterfront property in the City of East Providence. The engagement includes formation and organization of multiple business entities; negotiation of complex purchase and sales agreements that include environmental components; handling title and conveyancing issues; handling land swap and easement issues; and negotiating multiple contracts and leases pertaining to the development and use of the acquired property.
  • Regularly serves as lender’s counsel for a state chartered financial institution in connection with numerous real estate and asset secured commercial loans.
    Handles all aspects of documenting and closing loans.
  • Represented a state agency in connection with its acquisition of a $7 million dollar former skilled nursing facility for conversion to a homeless shelter.
  • Represents a large trust estate that owns multiple commercial properties. Assists with all aspects of counseling the trust, including sales of multiple commercial properties, and reorganization and conversion of the trust into a limited liability company.  Counsels the client on all aspects of operation of the LLC.
  • Routinely represents buyers/sellers and landlord/tenants in commercial real estate transactions, including serving as title counsel and settlement agent.
  • Routinely represents buyers and sellers of businesses across a wide range of industries, including asset sales and ownership interest sales.
  • Routinely counsels clients on the formation and operation of business entities, including preparing organizational documents and business succession agreements.
  • Title agent for two major national title insurance companies.
